Terms of Service

These Terms of Service ("Terms") constitute a legally binding agreement between Netleaf Info Soft Private Limited ("Netleaf", "Company", "we", "our", or "us") and any individual, organization, company, partnership, admission consultancy, education consultancy, student recruitment agency, counseling organization, enrollment partner, study abroad consultant, or other legal entity ("Client", "you", or "your") accessing or using our CRM platform, website, applications, APIs, integrations, and related services (collectively, the "Services").

By registering for, accessing, or using the Services, you acknowledge that you have read, understood, and agree to be bound by these Terms.

1. Services

Netleaf Info Soft Private Limited provides a cloud-based Student Admission CRM and Lead Management Platform designed to assist organizations involved in student counseling, admissions assistance, student recruitment, study abroad consulting, enrollment management, and related activities.

The Platform may be used for managing student inquiries, lead nurturing, counseling workflows, communication activities, admission tracking, application processing, reporting, analytics, and business operations.

2. Account Registration

• Provide accurate, complete, and current information.
• Maintain and promptly update account information.
• Protect the confidentiality of login credentials.
• Restrict account access to authorized personnel only.
• Notify the Company immediately of unauthorized use.

3. Subscription and Fees

• Subscription fees are payable in advance.
• All fees are non-refundable.
• Applicable taxes shall be borne by the Client.
• Late payment may result in suspension or termination.

4. Client Data

The Client retains ownership of all information, records, documents, communications, student data, lead data, counseling records, reports, and other materials uploaded or processed through the Services.

5. Data Privacy and Security

The Company shall implement commercially reasonable safeguards designed to protect Client Data. However, no cloud platform or internet-based service can be guaranteed to be completely secure.

6. Acceptable Use

• Do not violate applicable laws.
• Do not upload malicious software or viruses.
• Do not attempt unauthorized access.
• Do not disrupt platform operations.
• Do not reverse engineer the platform.

7. Intellectual Property Rights

All rights, title, and interest in the Services, software, source code, trademarks, documentation, reports, and technology remain the exclusive property of Netleaf Info Soft Private Limited and its licensors.

8. Third-Party Services and Integrations

The Services may integrate with third-party providers such as WhatsApp providers, SMS gateways, payment gateways, telephony systems, cloud infrastructure providers, analytics tools, and email service providers.

9. Confidentiality

Each party agrees to keep confidential all non-public information received in connection with the Services.

10. Disclaimer of Warranties

The Services are provided on an "AS IS" and "AS AVAILABLE" basis without warranties of any kind.

11. Limitation of Liability

Netleaf Info Soft Private Limited shall not be liable for indirect, consequential, incidental, special, or punitive damages arising from use of the Services.

12. Indemnification

The Client agrees to defend, indemnify, and hold harmless Netleaf Info Soft Private Limited against claims arising from misuse of the Services or Client Data.

13. Suspension and Termination

The Company may suspend or terminate Services for non-payment, breach of Terms, misuse of Services, or security concerns.

14. Force Majeure

The Company shall not be liable for delays or failures caused by events beyond its reasonable control.

15. Governing Law and Jurisdiction

These Terms shall be governed by the laws of India and subject to the exclusive jurisdiction of the courts located in Gurugram, Haryana, India.

16. Changes to Terms

Netleaf Info Soft Private Limited reserves the right to modify these Terms at any time.
